The BIO 2005 CSO "Boot Camp" is a
comprehensive training course/boot camp for academic investigators
interested in creating a new venture around their work. The
one-and-a-half day rigorous program introduces academic
investigators to entrepreneurial principles through modules and
panels comprised of successful academic entrepreneurs, venture
capitalists, R&D managers, attorneys, technology transfer and
licensing professionals, and entrepreneurship professors. The
formal program will be followed by a business plan clinic.
The program will include modules on:
Stakeholder analysis
Assessment and qualification of academic projects as potential
start-ups
What every investigator must know about life science Intellectual
Property
Factoring FDA review into project planning
Reimbursement issues, building the management team
The business plan as a tool and as a document; making the most of
the university technology transfer offices and business school
resources
Licensing and alliances
Capitalization of the venture and lessons learned
Eileen G. Gorman, Ph. D. will serve as faculty in the BIO 2005
Chief Scientific Officer (CSO) Boot Camp, scheduled in conjunction
with BIO 2005 in Philadelphia, PA.

Negotiation

A mock negotiation for a Series B
round of financing will be presented. The stage will be set with
the situation description and participants introduced. Mock
negotiation participants will include a VC firm member and counsel
and the corporate representative (the founding scientist, who has
been acting as CSO) and counsel. Topics to be considered include
the founding scientist’s employment agreement and related
compensation issues, including numbers of options, liquidation
issues that may vary between Series A and Series B investors and
use of the funds. Many other timely topics will also be discussed
in this mock session. The Mock Negotiation format will allow
discussions to occur between the investors and the company. In
addition, asides between the investor and counsel will highlight
the difference in perspective from the founding scientist and
representative counsel. The lively interchange will highlight
issues that are sensitive and more frequent than many may expect.

Funding continues to be a challenge
for early-stage and public companies alike. The class of 2003–04
IPO successes opened the door for only one form of access to
capital, but with uncertainty in the markets, companies must seek
other options as well. The panel will discuss other avenues
available to companies, including grants, government contracts,
line-item budget approaches and innovative lending strategies. The
perspective of the venture capital, investment banking, biotech
company and merger and acquisition experts will be presented in
this interactive session. All the stakeholders must evaluate
funding options to provide the needed resources to grow companies,
whether emerging or established.
